Information about AND-E's restructure plans for Brexit

In light of the UK’s decision to leave the EU, the Aioi Nissay Dowa European group  (AND-E) has been restructuring to ensure that its customers receive uninterrupted insurance cover and services in the UK and across Europe.

The European group’s general insurer, Aioi Nissay Dowa Insurance Company of Europe SE (ANDIE) and insurance intermediary Toyota Insurance Management SE (TIM) re-domiciled to Luxembourg on 1 March 2019.

Both these companies each have a new UK branch where our existing staff continue to service our UK business. The existing branches in Europe remain unchanged.

The European group is establishing a new general insurance company that will be named Aioi Nissay Dowa Insurance UK Limited (ANDI UK). This company has applied for its UK insurance licence to write solely UK business, including the renewal of the UK business previously written by ANDIE.

The European group is headed by the UK registered holding company Aioi Nissay Dowa Europe Limited (ANDEL).

Frequently asked questions (FAQs)

In light of the UK’s decision to leave the EU,  the Aioi Nissay Dowa European group (AND-E) has been restructuring to ensure that its customers receive uninterrupted insurance cover and services in the UK and across Europe post Brexit.

Under a no-deal Brexit UK insurance companies would not be permitted to offer insurance products to EEA customers  (i.e. UK insurers would lose their right to “Passporting”). ANDIE has customers across Europe supported by our employees in our European branches.

The decision was made to establish a new insurance company in the UK solely for UK customers and to move the existing insurance company into the EU for ANDIE’s EU customers.

The new address for ANDIE and TIM is 4 rue Lou Hemmer, L-1748 Senningerberg, Grand Duchy of Luxembourg.

The company registered number for ANDIE has changed to B232302.

The company registered number for TIM has changed to B232303.

ANDIE and TIM are now supervised by the Commissariat aux Assurances (CAA), 7, Boulevard Joseph II L-1840 Luxembourg.

Luxembourg is a core member of the European Union, has a stable economy, an experienced and well-respected insurance regulator and is a hub for financial services in general.

Yes. ANDIE’s and TIM’s UK branches are deemed to be permanent establishments for UK tax purposes and therefore will be subject to tax by the HMRC.

UK policyholders constitute a significant proportion of our existing customer base. Under UK insurance regulation there is a maximum amount of business that can be written by a UK branch of an EEA company. Therefore the AND-E group is setting up a new insurance company in the UK.

The UK branch of the existing company will continue to provide cover and services to its existing UK policyholders until the expiry of their policy or administration of any claims, whichever is the later. The UK branch will continue to offer invitations to renew existing UK customers policies until our new UK company, Aioi Nissay Dowa Insurance UK Limited (ANDI UK) is able to offer invitations instead.

You may have insurance cover provided by ANDIE through a broker or an organisation that has chosen to place their business with us. If you are unsure about your cover please contact your broker or usual customer service contact. We are required to make you aware of any changes taking place.

Policy data remains within the AND-E group and so is subject to all of our existing data privacy and data protection practices. We take customer data extremely seriously and abide by the data privacy and protection regulations that exist in each jurisdiction where we operate.

No. There is  no impact to your insurance premium solely as a result of the transfer.

No. The terms and conditions the of policies  stay the same. Customers don’t need any new insurance documents for existing policies.

If a customer is a UK policyholder then they will continue to have access to both the Financial Services Compensation Scheme (FSCS) and Financial Ombudsman Scheme (FOS).

If a customer is an existing EEA policyholder their eligibility for access to the UK’s Financial Services Compensation Scheme (FSCS) will remain, until their policy expires. Customers' right of access to any existing ombudsman service in their country of residence will not change, and they will gain the additional right of access to the ombudsman in Luxembourg.

The terms of some policies issued by ANDIE may allow claims to be made a number of years after the policy has expired. Depending on the terms of your policy, you may still have the right to make a claim under such a policy.

You are not required to take any action unless you have questions or think you might be adversely affected by the re-domicile of ANDIE and TIM to Luxembourg.
